END USER AGREEMENT This End-User License Agreement ("EUA") is a legal agreement between you (either an individual person or a single legal entity) and ProDev, Inc. Solution technology and its Licensee that displays this EUA, which includes any associated media and ProDev, Inc. Internet-related services (the "Solution"). For purposes of this EUA, the term "Licensee" refers to ProDev, Inc., except in the event that you acquired the Solution as a component of a ProDev, Inc. solution product originally licensed to a third party "Licensee" refers to such vendor. An amendment or addendum to this EULA may accompany the Solution. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR USING THE SOLUTION. IF YOU DO NOT AGREE, DO NOT INSTALL, COPY, OR USE THE SOLUTION. Ownership. This site, and each of its modules, together with the arrangement and compilation of the content found on this site, is the copyrighted property of ProDev, Inc. This website and the programs "property" contained therein are protected by international copyright law and treaties. Permitting others entry, reengineering, reproduction, usage, or distribution of this program, or any portion of it (in any form), may result in severe civil and criminal penalties and will be prosecuted to the maximum extent possible under the law. Participant agrees not to, and to ensure that its employees, consultants, associates, partners, and agents do not, decompile, disassemble, or reverse engineer the site, or any systems/software related thereto. 1. GRANT OF LICENSE. ProDev, Inc. grants you a limited, non-transferable license to use this site in accordance with the terms and conditions of this User Agreement. You may only use this site to make in a prescribed manner and shall not use this site for any other purposes, including without limitation, to make any speculative, false or fraudulent information. Provided you comply with all terms and conditions of this EULA, this EULA grants you the following rights: 1.1 Usage. You may use a copy of the Solution in accordance with the end user license agreement that accompanied your Solution Product. User agrees not to use ProDev’s applications in any manner that is disparaging or that otherwise could reasonably be expected to have an adverse impact on the goodwill associated with such programs, marks, diminish their value, or otherwise harm the corporate image, business or reputation of ProDev. If ProDev finds that its property are being used in such a manner, we shall have the right to cease or to appropriately modify any particular use. Any refusal to cease or appropriately modify such a use after being reasonably requested to do so shall be considered a material breach of this Agreement. Nothing herein will grant to Licensee any right, title or interest in ProDev’s property. Licensee will not, at any time during or after the Term, register, attempt to register, claim any interest in, contest the use of, or otherwise adversely affect the validity of any of ProDev’s property. 1.2 License Grant for Elements. The Solution may include certain forms, reports, displays, photographs, clip art, shapes, animations, sounds, music and video clips that are identified in the Solution for your use (together "Elements"). You are not licensed to do any of the following: • You may not sell, license or distribute copies of the Elements by themselves or as part of any collection, product or service if the primary value of the product or service is in the Elements. • You may not grant customers of your product or service any rights to license or distribute the Elements. • You may not license or distribute any of the Elements that include representations of identifiable individuals, governments, logos, initials, emblems, trademarks, or entities for any commercial purposes or to express or imply any endorsement or association with any product, service, entity, or activity. • You may not create obscene or scandalous works, as defined by federal law at the time the work is created, using the Elements. In addition, you must (a) indemnify and defend ProDev, Inc. from and against any claims or lawsuits, including attorneys' fees that arise from or result from the licensing, use or distribution of Elements as modified by you, and (b) include a valid copyright notice on your products and services that include the Elements. 1.3 License Grant for Templates. The Solution may include document templates. You may not copy and modify the document templates available as part of the Solution and distribute such templates along with your modifications for use by other licensees of a Solution Product, including personal or commercial correspondence involving person-to-person communication. You are not licensed to do any of the following: • You may not sell, resell, license, rent, lease, lend, or otherwise transfer for value. • You may not distribute the templates as part of any product or service. • You may not copy or post any on any network computer or broadcast it in any media. You must indemnify and defend ProDev, Inc. against any claims or lawsuits, including attorneys' fees, that arise from or result from the licensing or distribution as modified by you. 1.4 License Grant for Documentation. The documentation that accompanies the Solution is licensed for internal, non-commercial reference purposes only. And may not be used to reengineer or reproduce the solution (or any part thereof) in any form. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. You may not use any ProDev, Inc. Internet-based services associated with the Solution in any manner that could damage, disable, overburden, or impair such services or interfere with any other party's use and enjoyment of them. You may not attempt to gain unauthorized access to any service, account, computer systems or networks associated with the Internet-based services. If you use this site, you are responsible for maintaining the confidentiality of your account information and your password. You agree to accept responsibility for all activities that occur under your account or password. You represent that you are of sufficient legal age to use this site and to create binding legal obligations for any liability you may incur as a result of the use of this site. You understand that you are financially responsible for all uses of this site by you and those using your login information. INJUNCTIVE RELIEF. You acknowledge that a violation or attempted violation of any of this User Agreement and these terms and conditions will cause such damage to ProDev as will be irreparable, the exact amount of which would be difficult to ascertain and for which there will be no adequate remedy at law. Accordingly, you agree that ProDev shall be entitled as a matter of right to an injunction issued by any court of competent jurisdiction, restraining such violation or attempted violation of these terms and conditions by You, or Your affiliates, partners, or agents, as well as recover from You any and all costs and expenses sustained or incurred by ProDev in obtaining such an injunction, including, without limitation, reasonable attorney's fees. 3. RESERVATION OF RIGHTS AND OWNERSHIP. ProDev, Inc. reserves all rights not expressly granted to you in this EULA. The Solution is protected by copyright and other intellectual property laws and treaties. ProDev owns the title, copyright, and other intellectual property rights in the Solution. The Solution may be licensed, not sold. This EULA does not grant you any rights to trademarks or service marks of Licensee. ProDev may, from time to time monitor and review any information transmitted or received through this site and reserves the right to censor, edit, remove or prohibit the transmission or receipt of any information that we deem inappropriate or in violation of these terms and conditions. During monitoring, the information may be examined, recorded or copied, and your use of this site constitutes your consent to such monitoring and review. You agree that if you submit suggestions, ideas, comments or questions or post any other information on this site, you grant ProDev a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such content in any form, media or technology. ProDev or its Licensee takes no responsibility and assumes no liability for any content posted or submitted by you. You may not assign, convey, subcontract or delegate your rights, duties, or obligations hereunder. 4. LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not reverse engineer, decompile, or disassemble the Solution in any form and under any circumstance. 5. NO RENTAL/COMMERCIAL HOSTING. You may not rent, lease, lend or provide commercial services with the Solution unless you are in good standing as a licensee. 6. CONSENT TO USE OF DATA. You agree that ProDev or the Licensee and its affiliates may collect and use technical information gathered as part of the product support services provided to you, if any, related to the Solution. ProDev may use this information solely to improve our products or to provide customized services or technologies to you and will not disclose this information in a form that personally identifies you. Participant hereby grants ProDev or Licensee a non-exclusive, royalty free, right and license to use data for any legitimate business purpose. You shall defend and indemnify ProDev and any third party providers and distributors and their officers, directors, employees and agents from and against any claim, cause of action or demand, including without limitation reasonable legal and accounting fees, brought by or on your behalf in excess of the liability described herein or by third parties as a result of your use of this site. 7. LINKS TO THIRD PARTY SITES. ProDev is not responsible for the contents of any third-party sites or services, any links contained in third-party sites or services, or any changes or updates to third-party sites or services. These links are provided and access to third-party sites and services to you only as a convenience, and the inclusion of any link or access does not imply an endorsement of the Licensee or third-party site or service. 8. ADDITIONAL SOLUTION/SERVICES. This EULA applies to updates, supplements, add-on components, or Internet-based services components, of the Solution that Licensee may provide to you or make available to you after the date you obtain your initial copy of the Solution, unless they are accompanied by separate terms. Licensee reserves the right to discontinue Internet-based services provided to you or made available to you through the use of the Solution. 9. EXPORT RESTRICTIONS. You acknowledge that the Solution may be subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the Solution, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments. 10. TERMINATION. Without prejudice to any other rights, Licensee may terminate this EULA if you fail to comply with the terms and conditions of this EULA without notice. In such event, you must destroy all copies of the Solution and all of its component parts. This includes both non-electronic and electronic media. 11. LIMITED WARRANTY NOTE: IF YOU LICENSED THE SOLUTION FROM A LICENSEE AS A COMPONENT OF THEIR SOLUTION PRODUCT, PLEASE REFER TO THE LIMITED WARRANTIES, LIMITATION OF LIABILITY, AND OTHER SPECIAL PROVISION APPENDICES OR IN SUCH OTHER PRODEV, INC. SOLUTION PRODUCT. SUCH LIMITED WARRANTIES, LIMITATIONS OF LIABILITY AND SPECIAL PROVISIONS ARE AN INTEGRAL PART OF THIS EULA AND SHALL SUPERSEDE ALL OF THE WARRANTIES, LIMITATIONS OF LIABILITY AND OTHER SPECIAL PROVISIONS SET FORTH BELOW. THERE IS NO WARRANTY OR CONDITION OF ANY KIND. LIMITATION ON REMEDIES; NO CONSEQUENTIAL OR OTHER DAMAGES. Your exclusive remedy for any breach of this Limited Warranty is as set forth below. Except for any refund elected by ProDev, Inc., YOU ARE NOT ENTITLED TO ANY DAMAGES 12. DISCLAIMER OF WARRANTIES. THIS IS THE ONLY WARRANTY MADE TO YOU AND IS PROVIDED IN LIEU OF ANY OTHER EXPRESS WARRANTIES (IF ANY) CREATED BY ANY DOCUMENTATION OR PACKAGING. EXCEPT FOR THE LIMITED WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODEV, INC. AND ITS SUPPLIERS PROVIDE THE SOLUTION AND SUPPORT SERVICES (IF ANY) AS IS AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY OR COMPLETENESS OR RESPONSES, OF RESULTS, OF WORKMANLIKE EFFORT, OF LACK OF VIRUSES AND OF LACK OF NEGLIGENCE, ALL WITH REGARD TO THE SOLUTION, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT WITH REGARD TO THE SOLUTION. 13. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRODEV, INC. OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOLUTION, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF PRODEV, INC. OR ANY SUPPLIER, AND EVEN IF PRODEV, INC. OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 14. LIMITATION OF LIABILITY AND REMEDIES. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF PRODEV, INC. AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THIS EULA AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING (EXCEPT FOR ANY REMEDY OF REPAIR OR REPLACEMENT ELECTED BY PRODEV, INC. WITH RESPECT TO ANY BREACH OF THE LIMITED WARRANTY) SHAL BE LIMITED TO THE GREATER OF THE AMOUNT OF U.S. $5.00. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS (INCLUDING SECTIONS 11, 12, AND 13 ABOVE) SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. Force Majeure. ProDev shall not be deemed in default or otherwise liable hereunder due to its inability to perform its obligations by reason of any fire, earthquake, hurricane, typhoon, flood, epidemic, accident, explosion, casualty, strike, lockout, labor controversy, riot, civil disturbance, act of public enemy, embargo, war, act of God, terrorist act, or any municipal, county, state or national ordinance or law, or any executive, administrative or judicial order (which order is not the result of any act or omission which would constitute a default hereunder), or any failure or delay of any transportation, power, or communications system or any other similar cause beyond such Party’s control. Notices. Notices hereunder shall be given in writing by fax, electronic mail, personal delivery, certified or registered or overnight or other courier or delivery service, addressed (a) in the case of Participant, to the address specified or from time to time in accordance herewith. All such notices shall be deemed to have been given and received upon receipt if personally delivered or sent by certified or registered mail and when delivery is confirmed if sent by fax or overnight or other courier or delivery service. 15. U.S. GOVERNMENT LICENSE RIGHTS. All Solution provided to the U.S. Government pursuant to solicitations issued on or after December 1, 1995 is provided with the commercial license rights and restrictions described elsewhere herein. All Solution provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 is provided with "Restricted Rights" as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable. 16. APPLICABLE LAW. This EULA is governed by the laws of the State of Florida, United States 17. ENTIRE AGREEMENT; SEVERABILITY. This EULA (including any addendum or amendment to this EULA which is included with the Solution) is the entire agreement between you and ProDev, Inc. relating to the Solution and the support services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Solution or any other subject matter covered by this EULA. To the extent the terms of any ProDev, Inc. policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control. If any provision of this EULA is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect. Terms of Use Information ACCEPTANCE OF TERMS The Solutions that ProDev, Inc. provides to you are subject to the following Terms of Use ("TOU"). ProDev, Inc. reserves the right to update the TOU at any time without notice to you. The most current version of the TOU can be reviewed by clicking on the "Terms of Use" hypertext link located on the website. DESCRIPTION OF SOLUTIONS Through its network of Web properties, ProDev, Inc. provides you with access to a variety of resources, including systems, download areas, forms, reports, displays, communication forums and product information (collectively "Solutions"). The Solutions and licensed solutions including any updates, enhancements, new features, and/or the addition of any new Web properties, are subject to the TOU. PERSONAL AND NON-COMMERCIAL USE LIMITATION Unless otherwise specified, the Solutions are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or systems obtained from the Solutions. PRIVACY AND PROTECTION OF PERSONAL INFORMATION Contact the licensee for information relating to the collection and use of your information. NOTICE SPECIFIC TO SOFTWARE AVAILABLE Any software that is made available from the Solutions ("Software/Rich Internet Application") is the copyrighted work of ProDev, Inc. Use of the Software is governed by the terms of the end user license agreement, which accompanies or is included with the Software ("License Agreement"). An end user will be unable to use any Software that is accompanied by or includes a License Agreement, unless he or she first agrees to the License Agreement terms. The Software is made available solely for use by end users according to the License Agreement. Any reproduction or redistribution of the Software not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION, REENGINEERING OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. PRODEV, INC. HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. FOR YOUR CONVENIENCE, PRODEV, INC. MAY MAKE AVAILABLE AS PART OF THE SOLUTIONS OR IN ITS SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR USE. PRODEV, INC. DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS AND UTILITIES. NOTICE: RESPECT THE INTELLECTUAL PROPERTY RIGHTS OF OTHERS WHEN USING THE TOOLS AND UTILITIES MADE AVAILABLE ON THE SOLUTIONS OR IN PRODEV, INC. PRODUCTS. NOTICE SPECIFIC TO INFORMATION AVAILABLE ON THIS WEB SITE Permission to use Documents (such as white papers, press releases, datasheets) from the Solutions is granted, provided that (1) the below copyright notice appears in all copies and that both the copyright notice and this permission notice appear, (2) use of such Documents from the Solutions is for informational and non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media, and (3) no modifications of any Documents are made. Use for any other purpose is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. Documents specified above do not include the design or layout of the Web site or any other ProDev, Inc. owned, operated, licensed or controlled site. Elements of ProDev, Inc. AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF SOFTWARE, DOCUMENTS, PROVISION OF OR FAILURE TO PROVIDE SOLUTIONS, OR INFORMATION AVAILABLE FROM THE SOLUTIONS. MEMBER ACCOUNT, PASSWORD, AND SECURITY If any of the Solutions requires you to open an account, you must complete the registration process by providing us with true, current, complete, and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify ProDev, Inc. immediately of any unauthorized use of your account or any other breach of security. ProDev, Inc. will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by ProDev, Inc. or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder. NO UNLAWFUL OR PROHIBITED USE As a condition of your use of the Solutions, you will not use the Solutions for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Solutions in any manner that could damage, disable, overburden, or impair any ProDev, Inc. server, or the network(s) connected to any ProDev, Inc. server, or interfere with any other party's use and enjoyment of any Solutions. You may not attempt to gain unauthorized access to any Solutions, other accounts, computer systems or networks connected to any ProDev, Inc. server or to any of the Solutions, through hacking, password mining or any other means. You may not obtain or attempt to obtain any frameworks, forms, materials or information through any means not intentionally made available through the Solutions. USE OF SOLUTIONS The Solutions may contain forms, reports, displays, e-mail Solutions, bulletin board Solutions, chat areas, news groups, forums, communities, white boards, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable you to communicate with others (each a "Communication Solutions" and collectively "Communication Solutions"). You agree to use the Communication Solutions only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Solutions. By way of example, and not as a limitation, you agree that when using the Communication Solutions, you will not: • Use the Communication Solutions in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise). • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others. • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information. • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same. • Use any material or information, including images or photographs, which are made available through the Solutions in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party. • Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another. • Advertise or offer to sell or buy any goods or Solutions for any business purpose, unless such Communication Solutions specifically allows such messages. • Download/upload any file posted by another user of a Communication Solutions that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner. • Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded. • Restrict or inhibit any other user from using and enjoying the Communication Solutions. • Violate any code of conduct or other guidelines which may be applicable for any particular Communication Solutions. • Harvest or otherwise collect information about others, including activities or e-mail addresses. • Violate any applicable laws or regulations. • Create a false identity for the purpose of misleading others. • Use, download or otherwise copy, or provide in any form (whether or not for a fee) to a person or entity any directory of users of the Solutions or other user or usage information or any portion thereof. ProDev, Inc. has no obligation to monitor the Communication Solutions. However, ProDev, Inc. reserves the right to review materials posted to the Communication Solutions and to remove any materials in its sole discretion. ProDev, Inc. reserves the right to terminate your access to any or all of the Solutions at any time, without notice, for any reason whatsoever. ProDev, Inc. reserves the right at all times to disclose any information as ProDev, Inc. deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in ProDev’s sole discretion. Always use caution when giving out any personally identifiable information about yourself or your children in any Solutions. ProDev, Inc. does not control or endorse the content, messages or information found in any (Communication) Solutions and, therefore, ProDev, Inc. specifically disclaims any liability with regard to the Communication Solutions and any actions resulting from your participation in any Communication Solutions. Managers and hosts are not authorized ProDev, Inc. spokespersons, and their views do not necessarily reflect those of ProDev

Event Policy

Payment and Inclusions
Full payment of the registration fee must be made at the time of registration. The fee does not include out-of-pocket expenses such as travel, lodging, etc., and attendees must make arrangements and pay for those expenses on their own.
Attendance and registration for an event is limited to registered attendees who have purchased a event registration, companion/guest registration and must be of 18 years of age or older.
Payments
Payments must be made in US dollars (USD). Payment of online registration and on-site registrations must be made using a credit card (via PayPal). Checks are acceptable for registrations.
Cancellations/Refunds
Regrettably, no refunds can be made for cancellations.
Program/Schedule Changes
It may be necessary, for reasons beyond the control of the ICF, to change program content, speakers and/or time blocks. The ICF is not liable for any changes.
Handouts/Presentations
Presentations and handouts when provided by the speakers will be made available. Please respect copyright issue.
Photography, Videography & Audio Recording
Due to speaker contracts and copyright laws, photography, videography and/or audio recording of presenters and speakers during their session is strictly prohibited.
Professionalism
Attendees are expected to behave professionally. Obscene language, abusive or threatening behavior directed to any other conference attendee, speaker, ICF staff or building personnel is not conducive to a learning environment and will not be tolerated.
Sharing of Information
Please note that participant contact details will be kept on the ICF database, which will only be used by ICF. Credit card information will NOT be stored in this database.
Sale or Public Display of Merchandise
Sale or public display of any merchandise or products at any location other than that specifically permitted by the ICF is prohibited. Violators will be subject to cancellation of their reservations and revocation of their event participation. This policy will be strictly enforced against violators by both the hotels and the ICF.
Mobile Phones and Pagers
Please respect your colleagues and speakers and do not text. All mobile phones and pagers should be turned off during education sessions and meetings.
ICF Provided Internet Access
The following uses of ICF provided on-site Internet access are not permitted:

To violate any local, provincial, or federal statute;
To vandalize, damage or disable the property of another individual or organization;
To access another individual's materials, information, or files without permission;
To use scanning or hacking exploit tools on public networks; and
To violate copyright or otherwise use the intellectual property of another individual or organization without permission.

Disclaimer
Speakers alone are responsible for the content of their respective program, presentations and/or handouts which are offered for informational purposes only. The views and opinions expressed in the sessions are not necessarily those of the ICF and are not endorsed by the ICF. The ICF disclaims any and all legal liability or responsibility for the content expressed in the sessions or materials distributed as a part of the session.
Damages and Liability
ICF accepts no liability whatsoever in respect of any loss or damage to the Customer's property or injury or death to the Customer's employees, agents or representatives arising from or in connection with this conference.
Failure to Perform
ICF shall not be liable for any failure to perform or any delay in performing its obligations if the failure or delay is due directly or indirectly to any cause beyond the reasonable control of the organization, its employees, agents or representatives which shall include, but is not limited to, the following Acts of God: fire, flood, explosion, accident, civil disturbance or emergency or periods of armed conflict.
